Terms of Use
Effective date: [Effective date]
These Terms of Use (“Terms”) are an agreement between you and [Omnis legal entity name, e.g. Omnis Ltd] (“we”, “us”), the operator of Omnis (the “Service”). Please read them carefully. By creating an account or using the Service you agree to them.
1. What the Service is
Omnis gives you one account and one prepaid balance (“credits”) for using many artificial intelligence models and tools offered by independent third-party providers, for example to generate text and images. We are an intermediary: the models themselves are run by those providers.
2. Who can use it
You must be at least 18 years old and able to enter a binding contract. If you use the Service for a company or other organisation, you confirm you are allowed to accept these Terms on its behalf. The Service is not directed at children.
3. Your account
- Give accurate information and keep it up to date.
- Keep your password secret. You are responsible for activity under your account, so tell us at once if you suspect unauthorised use.
- One person per account. Do not sell, share or transfer your account.
4. AI outputs: what to expect
- Outputs are generated by AI. They can be wrong, incomplete, out of date, offensive or similar to other outputs. Check anything important before you rely on it.
- Outputs are not legal, medical, financial or other professional advice.
- Where the law requires it (for example for realistic synthetic images, audio or video), you must clearly label AI-generated content when you publish or share it.
5. Credits, prices and payment
- You add funds to your balance and each request uses credits. The cost of a request is based on what the underlying provider charges us, plus our service fee. Prices are shown in the Service before you confirm a request or a top-up.
- Prices include or exclude VAT, sales tax and similar taxes as shown at checkout. Where tax applies, it is added according to your location.
- Payments are handled by [Payment processor, e.g. Stripe]. We do not store your full card details.
- Credits are for use on the Service only. They are not money, earn no interest, and cannot be transferred or exchanged for cash, except where the law or section 6 gives you a refund.
- A request that has started and been processed by a provider is charged even if you do not like the output, because we pay the provider whatever the result. If a request fails because of a fault on our side, we return the credits.
6. Cancellation and refunds
Consumers in the EU and UK. You normally have 14 days from a purchase to withdraw without giving a reason. If you start using credits within those 14 days, you ask us to begin the service immediately, and you accept that you lose the right of withdrawal for the part already used. We then refund the unused part of your payment, in the same way you paid, within 14 days of your request. To use this right, email support@omniscompute.com with your account email and the purchase you mean.
Everyone else. Unused credits can be refunded within 14 days of the purchase if you contact us. After that, purchases are final, except where the law says otherwise or where we decide to help you. Nothing in these Terms limits your legal rights as a consumer.
If you think a charge is wrong, please contact us first. See our Chargeback Policy.
7. What you may not do
You may not use the Service to:
- break the law or others’ rights, including privacy, copyright, trademark and personality rights;
- create, request or share sexual content involving minors, or content that promotes violence, terrorism, self-harm or hatred against people or groups;
- create deceptive deepfakes of real people without their consent, or impersonate anyone;
- harass, defraud, spam or mislead people, or build weapons or malware;
- send other people’s personal data or confidential information that you have no right to share;
- attack, overload, reverse-engineer or bypass the security, limits or billing of the Service, or resell it without our written permission;
- break the usage policies of the underlying providers, which also apply to your requests.
We may block requests, remove content, and report unlawful content to the authorities where required.
8. Your content and the outputs
- You keep the rights you have in what you send to the Service (“inputs”). You confirm you are allowed to use them this way.
- As between you and us, and as far as the law allows, you may use the outputs for your own purposes, including commercial ones. We do not promise outputs are free of third-party rights, or that anyone can own them, because that depends on the law and on the model.
- You give us the limited permission needed to run the Service: to process your inputs, send them to the provider you or our system selects, store your chat history for you, and keep records of usage and payments.
9. Third-party providers
To answer a request, your input is sent to an AI provider, such as OpenRouter, fal or the company behind a model. They process it under their own terms and privacy notices, and we choose them with care. Models and providers can change, be unavailable, or be replaced. Our Privacy Policy explains what data goes where.
10. Our rights in the Service
The Service, its design, software and branding belong to us or our licensors. Third-party names and logos shown are the property of their owners, are used only to say which service is available, and do not mean they endorse us. We give you a personal, non-exclusive, non-transferable right to use the Service under these Terms.
11. Availability and changes
We aim to keep the Service running but cannot promise it will always be available or error-free. We may change, pause or stop features, models and prices. If we change prices, the new price applies to future requests only, and you see it before you confirm a request.
12. Suspension and ending
You can close your account at any time. We may suspend or close it, with notice where reasonable, if you break these Terms, put others or the Service at risk, cause a payment dispute, or the law requires it. If we close your account without a fault of yours, we refund your unused balance.
13. Disclaimers
Except where the law does not allow it, the Service and all outputs are provided “as is” and “as available”, without promises about accuracy, fitness for a particular purpose or uninterrupted use. This does not affect any rights you have by law as a consumer.
14. Limit of our liability
Nothing in these Terms limits liability that cannot be limited by law, including liability for death or personal injury caused by negligence, for fraud, or for intentional or grossly negligent harm. Subject to that, and as far as the law allows, we are not liable for indirect or consequential loss, lost profit, lost data or loss of goodwill, and our total liability for any claim is limited to the amount you paid us in the 12 months before the claim arose.
15. If you use the Service for business
If you are not a consumer, you will compensate us for claims and costs resulting from your inputs or your use of outputs that break these Terms or the law.
16. Changes to these Terms
We may update these Terms, for example for legal or product reasons. We will tell you about important changes in advance, for example by email or in the Service. If you keep using the Service after the change takes effect, you accept it. If you do not agree, you can close your account and ask for a refund of your unused balance.
17. Governing law and disputes
These Terms are governed by the laws of [Country or US state]. Courts in [City, Country] can decide disputes, unless the law gives you the right to go to the courts where you live. If you are a consumer, you also keep the mandatory consumer protection rules of the country where you live, and you may bring a complaint to your local consumer authority. Please contact us first so we can try to solve the problem.
